คือ แนะนำสินค้าของประเทศไทยส่งออกไปยังต่างประเทศ โดยบริษัทฯ จะได้รับค่า COMMISSION จาก
คู่ค้าในต่างประเทศผู้ซื้อสินค้าจากประเทศไทย บริษัทฯ จึงหารือว่า การที่บริษัทฯ ประกอบกิจการใน
ลักษณะดังกล่าวและได้รับค่า COMMISSION จากต่างประเทศจะต้องเสียภาษีมูลค่าเพิ่มในอัตราร้อยละ 7
หรืออัตราร้อยละ 0

แนววินิจฉัย

: บริษัทฯ มีหน้าที่รวบรวมข้อมูลเกี่ยวกับสินค้าและโรงงานต่าง ๆ ที่ผลิตสินค้าในประเทศ ช่วย
แนะนำคู่ค้าว่าโรงงานใดเหมาะสำหรับสินค้าประเภทใด โรงงานใดมีลักษณะเด่นหรือควรปิดบังอะไรให้
กับลูกค้าต่างประเทศ หากมีปัญหาเกิดขึ้น เช่น สินค้าผิดตัวอย่าง คุณภาพต่ำกว่าเกณฑ์และมีการเรียกร้อง
ค่าเสียหาย (Claim) กันขึ้น บริษัทฯ จะต้องทำหน้าที่เป็นคนกลางประนีประนอมให้สองฝ่ายตกลงกัน ให้
คำอธิบายแก่โรงงานผู้ผลิตในประเทศ ถึงวิธีการทั่วไปที่ยอมรับในประเทศคู่ค้า เป็นต้น นอกจากนี้
วัตถุประสงค์ของบริษัทตามหนังสือรับรองการจดทะเบียนและแบบคำขอจดทะเบียนภาษีมูลค่าเพิ่ม
(ภ.พ.01) ได้ระบุวัตถุประสงค์และประเภทกิจการของบริษัทฯ ว่าเป็นตัวแทนนายหน้าในการส่งออก สั่ง
เข้า ดังนั้น การให้บริการดังกล่าวมาข้างต้นยังไม่เข้าลักษณะเป็นกิจการตามประกาศอธิบดีกรมสรรพากร

แนววินิจฉัย	: 1. กรณีที่บริษัทฯ เป็นผู้ทำการติดต่อในการซื้อขายสินค้าระหว่างผู้ซื้อในประเทศกับบริษัท ผู้ขายในต่างประเทศ ทำให้บริษัทในต่างประเทศสามารถขายสินค้าให้แก่ลูกค้าในประเทศไทยได้ ถือว่า บริษัทฯ เป็นนายหน้าขายสินค้าของบริษัทในต่างประเทศ บริษัทฯ จึงมีหน้าที่นำค่านายหน้าที่ได้รับจาก บริษัทในต่างประเทศมารวมคำนวณเพื่อเสียภาษีเงินได้นิติบุคคล ตามมาตรา 65 แห่งประมวลรัษฎากร โดยเสียภาษีในอัตราร้อยละ 30 จากกำไรสุทธิ และเสียภาษีมูลค่าเพิ่มตามมาตรา 79 แห่ง ประมวลรัษฎากร โดยเสียภาษีในอัตราร้อยละ 7.0 ตามมาตรา 80 แห่งประมวลรัษฎากร และ พระราชกฤษฎีกาฯ (ฉบับที่ 353) พ.ศ. 2542 2. หากกรณีการดำเนินการของบริษัทฯ ที่ได้ทำการติดต่อในการซื้อขายสินค้าระหว่างผู้ซื้อ ในประเทศกับผู้ขายในต่างประเทศ ไม่เข้าลักษณะเป็นการประกอบธุรกิจอย่างเป็นอิสระจากบริษัทใน ต่างประเทศ ตามคำวินิจฉัยของคณะกรรมการวินิจฉัยภาษีอากรที่ 2/2526 เรื่อง ภาษีเงินได้ บริษัทหรือห้างหุ้นส่วนนิติบุคคลตามมาตรา 76 ทวิ แห่งประมวลรัษฎากร ลงวันที่ 19 สิงหาคม พ.ศ. 2526 ถือว่าบริษัทฯ เป็นผู้ทำการแทนหรือผู้ทำการติดต่อให้แก่บริษัทต่างประเทศ เมื่อบริษัทต่างประเทศ ได้รับชำระค่าสินค้า ย่อมมีเงินได้หรือกำไร บริษัทฯ มีหน้าที่และความรับผิดในการยื่นแบบแสดงรายการ และเสียภาษีเงินได้นิติบุคคลแทนบริษัทต่างประเทศเฉพาะที่เกี่ยวกับเงินได้หรือผลกำไรในประเทศ ตาม มาตรา 76 ทวิ แห่งประมวลรัษฎากร โดยเสียภาษีในอัตราร้อยละ 30 จากกำไรสุทธิ
