เรียกเก็บภาษีมูลค่าเพิ่มในต่างประเทศ
ได้มีบริษัทแห่งหนึ่งในประเทศสิงคโปร์ มาว่าจ้างบริษัทของดิฉันทำวิจัยข้อมูลเกี่ยวกับตลาดข้อมูลสารสนเทศในประเทศไทย โดยเมื่อบริษัทของดิฉันทำการวิจัยเรียบร้อยแล้วก็ได้ส่งผลการวิจัยดังกล่าวไปให้บริษัทในประเทศสิงคโปร์ อยากทราบว่าดิฉันสามารถเรียกเก็บภาษีมูลค่าเพิ่มในอัตราร้อยละ 7 สำหรับค่าบริการวิจัยดังกล่าวได้หรือไม่ อย่างไรคะ

เรื่อง	: ภาษีมูลค่าเพิ่ม กรณีการให้บริการที่กระทำในราชอาณาจักร และได้มีการใช้บริการนั้นในต่างประเทศ ซึ่งได้รับสิทธิในการเสียภาษีมูลค่าเพิ่มในอัตราร้อยละ 0 ตามมาตรา 80/1(2) แห่งประมวลรัษฎากร
ข้อกฎหมาย	: มาตรา80/1(2)
ข้อหารือ	: บริษัทฯ ประกอบกิจการเป็นที่ปรึกษากฎหมายและมีลูกค้าที่เป็นบริษัทต่างประเทศที่มิได้ ประกอบกิจการในประเทศไทยเป็นจำนวนมาก บริษัทฯ หารือว่า กรณีที่บริษัทฯ ให้บริการเป็นที่ปรึกษากฎหมายแก่ลูกค้าซึ่งเป็น บริษัทต่างประเทศที่มิได้ประกอบกิจการในประเทศไทยในกรณีดังต่อไปนี้ โดยบริษัทฯ ได้ส่งผลของบริการ ไปให้ลูกค้าในต่างประเทศทั้งสิ้น จะได้รับสิทธิในการเสียภาษีมูลค่าเพิ่มในอัตราร้อยละ 0 ตามมาตรา 80/1(2) แห่งประมวลรัษฎากรหรือไม่ 1. ลูกค้าของบริษัทฯ ในต่างประเทศซึ่งมิได้ประกอบกิจการในประเทศไทยประสงค์จะ ลงทุนในหลักทรัพย์ประเภทหุ้น หุ้น*้ หรือตราสารหนี้ หรือลักษณะอื่นใดที่คล้ายคลึงกัน หรือประสงค์ที่จะทำ การจัดตั้งบริษัทขึ้นในประเทศไทยเพื่อลงทุน ก่อนหน้าที่ลูกค้าจะทำการลงทุนดังกล่าว ได้หารือปัญหา ข้อกฎหมายและข้อแนะนำอันเกี่ยวข้องกับธุรกิจและสัญญา บริษัทฯ ได้ส่งคำปรึกษาที่เกี่ยวข้องให้แก่ลูกค้า ในต่างประเทศเป็นหนังสือ และได้เรียกเก็บค่าธรรมเนียมและค่าที่ปรึกษาต่าง ๆ จากลูกค้าใน ต่างประเทศ 2. ลูกค้าของบริษัทฯ ในต่างประเทศซึ่งมิได้ประกอบกิจการในประเทศไทยเป็นผู้ขายสินค้า หรือเป็นผู้ให้บริการที่ปรึกษาแก่บุคคลในประเทศไทย เช่น ได้ให้คำแนะนำทางการเงินแก่ธนาคารใน ประเทศไทย โดยไม่มีตัวแทนที่ก่อให้เกิดเงินได้ตามมาตรา 76 ทวิ แห่งประมวลรัษฎากร บริษัทฯ ได้ทำ การวิเคราะห์กฎหมายไทยที่เกี่ยวข้องและจัดเตรียมเอกสารสัญญาต่าง ๆ โดยจัดส่งผลงานการวิเคราะห์ และเอกสารดังกล่าวให้แก่ลูกค้าของบริษัทฯในต่างประเทศ 3. ลูกค้าของบริษัทฯ ในต่างประเทศ เป็นเจ้าหนี้บุคคลในประเทศไทย และมีความ ประสงค์ที่จะทำการปรับโครงสร้างหนี้ตามกฎหมายที่เกี่ยวข้อง ลูกค้าได้จ้างบริษัทฯ เป็นที่ปรึกษาเพื่อให้ คำแนะนำปัญหาข้อกฎหมายที่ต้องใช้ในการปรับโครงสร้างหนี้ โดยบริษัทฯ ได้จัดส่งรายงานให้ลูกค้าซึ่ง เป็นเจ้าหนี้ในต่างประเทศ 4. ลูกค้าของบริษัทฯ เป็นสำนักงานกฎหมายในต่างประเทศซึ่งมิได้ประกอบกิจการใน ประเทศไทย และได้ให้บริการกฎหมายแก่ลูกความในต่างประเทศ** หรือแก่ลูกค้าในประเทศไทย และได้ ว่าจ้างบริษัทฯ เพื่อให้คำแนะนำทางกฎหมาย โดยบริษัทฯ ได้จัดส่งผลงานให้แก่ลูกความโดยตรง ลูกค้า ของบริษัทฯ จะนำผลงานไปวิเคราะห์ประกอบกับผลงานของตนเองเพื่อจัดทำข้อแนะนำให้กับลูกความของ ลูกค้าต่อไป โดยบริษัทฯ ไม่มีนิติสัมพันธ์กับลูกความของลูกค้าแต่อย่างใด
แนววินิจฉัย	: เนื่องจากการให้บริการเป็นที่ปรึกษากฎหมาย เข้าลักษณะเป็นการรับจ้างทำของ ดังนั้น กรณีที่บริษัทฯ ให้บริการที่ปรึกษากฎหมายแก่ลูกค้าในต่างประเทศซึ่งมิได้ประกอบกิจการในประเทศไทย ตามข้อเท็จจริงดังกล่าวโดยมีการส่งผลของบริการไปให้ลูกค้าในต่างประเทศทั้งสิ้น และโดยการ ให้บริการนั้น มีหลักฐานเป็นหนังสือ จึงได้รับสิทธิในการเสียภาษีมูลค่าเพิ่มในอัตราร้อยละ 0 ตามมาตรา 80/1(2) แห่งประมวลรัษฎากร และประกาศอธิบดีกรมสรรพากรฯ (ฉบับที่ 15) ลงวันที่ 27 ธันวาคม พ.ศ. 2534

แนววินิจฉัย	: 1. กรณีบริษัทฯ ประกอบกิจการให้บริการเป็นที่ปรึกษาทางธุรกิจแก่ลูกค้าในต่างประเทศ รวมทั้งการสำรวจเปรียบเทียบคุณภาพและราคา และติดต่อประสานงานกับลูกค้า โดยผลของคำปรึกษา และการจัดการจะถูกนำไปใช้ในต่างประเทศทั้งหมด เข้าลักษณะเป็นการให้บริการที่กระทำใน ราชอาณาจักรแก่ผู้รับบริการในต่างประเทศ และได้ส่งผลของการให้บริการนั้นไปใช้ในต่างประเทศ ทั้งหมด หากบริษัทฯ ผู้ให้บริการมีหลักฐานแสดงการชำระราคาค่าบริการในนามของบริษัทฯ บริษัทฯ ย่อม ได้รับสิทธิเสียภาษีมูลค่าเพิ่มในอัตราร้อยละ 0 ตามมาตรา 80/1(2) แห่งประมวลรัษฎากร ประกอบกับ ประกาศอธิบดีกรมสรรพากร เกี่ยวกับภาษีมูลค่าเพิ่ม (ฉบับที่ 105)เรื่อง กำหนดประเภท หลักเกณฑ์ วิธีการ และเงื่อนไขกรณีการให้บริการที่กระทำในราชอาณาจักร และได้มีการใช้บริการนั้นใน ต่างประเทศ ตามมาตรา 80/1(2) แห่งประมวลรัษฎากร ลงวันที่ 12 กรกฎาคม พ.ศ. 2543 ซึ่ง แก้ไขเพิ่มเติมโดยประกาศอธิบดีกรมสรรพากร เกี่ยวกับภาษีมูลค่าเพิ่ม (ฉบับที่ 122)ฯ ลงวันที่ 15 มกราคม พ.ศ. 2545 2. กรณีบริษัทต่างประเทศว่าจ้างบริษัทในประเทศไทยเป็นผู้ผลิตโดยคำแนะนำของบริษัทฯ บริษัทฯ ได้รับค่านายหน้าจากบริษัทผู้ผลิตในแต่ละครั้งที่มีการตกลงสั่งซื้อสินค้าจากบริษัทลูกค้าใน ต่างประเทศ และกรณีบริษัทฯ เป็นผู้จัดหาบริษัทชิปปิ้งเพื่อส่งสินค้าจากผู้ผลิตให้กับบริษัทต่างประเทศ ซึ่ง บริษัทฯ จะสำรองจ่ายค่าขนส่งสินค้าแทนบริษัทต่างประเทศ โดยบริษัทชิปปิ้งจะออกใบเสร็จรับเงินให้ใน นามของบริษัทฯ เมื่อบริษัทฯ เรียกเงินสำรองจ่ายคืน บริษัทฯ จะเรียกเก็บเงินค่าบริการเพิ่มขึ้น นอกเหนือจากเงินสำรองจ่ายคืนค่าขนส่งจากบริษัทต่างประเทศด้วย กรณีบริษัทฯ จ่ายเงินสำรองค่าขนส่ง แทนและเรียกเก็บคืนจากบริษัทต่างประเทศด้วยทั้งสองกรณี เข้าลักษณะเป็นการให้บริการที่กระทำใน ราชอาณาจักร ตามมาตรา 77/2 แห่งประมวลรัษฎากร บริษัทฯ มีหน้าที่ต้องเสียภาษีมูลค่าเพิ่มในอัตรา ร้อยละ 7.0 ตามมาตรา 80(2) แห่งประมวลรัษฎากร
